CONFIDENTIALITY AGREEMENT

Effective Date: From date of intial payment
Between: InvestiCase Ltd And You, the client

1. Purpose

When you engage with InvestiCase Ltd, we may exchange or receive information that is private, personal, sensitive, or otherwise confidential.
This agreement explains how such information will be handled and the obligations both parties accept.

2. Definition of Confidential Information

“Confidential Information” includes all information shared by either party in connection with any service provided by InvestiCase Ltd, whether verbal, written, or electronic.
 

This may include, but is not limited to:

• personal or professional information relating to your case, circumstances, or employment.
• details of any investigation, allegation, hearing, TRiM assessment, or welfare support.
• internal business processes, templates, or materials belonging to InvestiCase Ltd. 

Information is not considered confidential if it:

• is already publicly available through no fault of either party.
• was lawfully known before disclosure.
• is required to be disclosed by law or court order.

3. Use of Confidential Information

Both parties agree that:

• Confidential Information will only be used for the purpose of providing or receiving services through InvestiCase Ltd.
• It will not be shared, copied, or disclosed to any third party without      written consent, except where required by law.
• Reasonable  measures will be taken to protect all Confidential Information from  unauthorised access or disclosure.

4. Professional and Legal Exceptions

InvestiCase Ltd may share limited information with trusted professional advisers or associates (for example, legal representatives, clinical specialists, or consultants) only where necessary for the delivery of services and always under equivalent confidentiality obligations.

We may also disclose information if legally compelled (for instance, by a court, regulator, or safeguarding authority), but only to the minimum extent required.

5. Storage and Retention

All records, case notes, and communications are stored securely in line with data protection legislation and the InvestiCase Ltd Privacy Policy.
Confidential information will only be retained for as long as necessary to fulfil the Purpose or meet legal obligations, after which it will be securely destroyed.

6. Duration of Confidentiality

The confidentiality obligations under this agreement remain in force for two (2) years after the end of your engagement with InvestiCase Ltd, even after services have concluded or communications have ceased.

7. No Partnership or Agency

This agreement does not create a partnership, employment, or agency relationship between you and InvestiCase Ltd.

8. Governing Law

This agreement and any dispute arising from it will be governed by and interpreted in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.

9. Acknowledgement

By booking an appointment, you confirm that:

• you have read and understood this Confidentiality Agreement,
• you agree to its terms, and
• you accept that this forms a binding agreement between you and InvestiCase Ltd.
